This document is the confidential property of XYZ-Wellbeing Investment Plus and is considered to be strictly confidential.  It contains information intended only for the person or entity to which it has been transmitted, and has been provided to you on a confidential basis for use solely in connection with the offering.  You agree to maintain the confidentiality of the information contained herein.

In the event that the recipient does not wish to pursue this matter, then this document will be returned to the Company's address as provided in the section titled Corporate Directory.  If you have an electronic copy, you must delete it and confirm deletion via email.

The recipient will not copy, fax, reproduce, divulge or distribute this confidential document, in whole or in part, or use it for any purpose other than to evaluate an investment in XYZ.  Any distribution of this memorandum to anyone other than your investment and legal advisers is unauthorized without the express written consent of XYZ-Wellbeing Investment Plus in writing.

All the information contained herein shall be treated as strictly confidential material.

XYZ will not use an offering literature, other than this Information Memorandum, as it may be supplemented or amended in writing in connection with the offering.  This document is subject to review, alteration and re-release as seen fit by the Company from time to time.  Other than the Company, no person has been authorized to make representations or give any information with respect to the offering except the information contained herein, and if any such information or representation is given or made, it must not be relied upon.

This document has not been issued for the purposes of listing on an exchange and is provided for Partners, Sophisticated Investors, Angel Investor, staff, suppliers, friends of the project, and founding members; all who may wish to invest if XYZ is not breaking any local or international Law in excepting your investment, so the offer is subject to the Law allowing for such an Investment. This Information Memorandum has not been filed or lodged with the Superintendent of Corporations.
No established markets exist for unquoted restricted securities.
A 10-day cooling off period applies to any issue of shares, if applicable.
There is no requirement to lodge or file a document before the Superintendent of Corporations
when the total share offer is less than $5.8 million.

XYZ-Wellbeing (XYZ or the Company) plans to design, market, sell and franchise the use of alternative health and wellbeing centers for a wide range of clients internationally by providing and marketing a system of robust alternative medical services, products, and environments for challenging health needs, preventative health maintenance, and overall patient wellbeing.

XYZ has envisioned and designed revolutionary new ways to market and provide alternative medical services in order to create varying solutions that offer a range of choices to those seeking alternatives to traditional forms of medical treatments for their health care; especially in those cases where traditional treatments for cancer and other illnesses serve as barriers or undesirable options to and for good health and wellbeing.

XYZ anticipates providing such services and products with specific utility in alternative and holistic medicine applications and treatments, patient ReTreat facilities, and knowledge-based events containing alternative medicine information.

XYZ seeks investment to operate and market its alternative medical methodologies and services.  It is anticipated that XYZ will open the doors of its new ReTreat facility late in 2011 in Cartagena, South America.  XYZ will support its markets with the integration of clinically tested alternative medical treatments, holistic approaches, services, and products.

XYZ will then attempt to identify and acquire for use new and emerging trends and knowledge's of natural therapies and products to support and expand the Company's existing foundation of health and wellbeing products and services.

After the success of the opening of the ReTreat facility, the Company will focus on international expansion of the number of facilities, expansion of services, expansion of new alternative medical treatments, methods and applications, and expansion of products that enhance the services.  The Company is targeting a range of clients worldwide with various levels of health care, medical and wellbeing needs.
